Terms of Service

1. SERVICE DEFINITION & SCOPE

1.0 Definitions 

For purposes of these Terms of Service:

  • "Services" means SERP Lab's SEO analysis and optimization platform and all associated features

  • "Customer" means the business entity with valid business registration (CVR or equivalent) that registers for an Account

  • "Account" means the unique login credentials and associated subscription registered to a Customer

  • "Authorized User" means an employee or contractor authorized by Customer to access the Account

  • "User Data" means all data submitted, uploaded, or imported by Customer including GSC data

  • “Usage Data” means aggregated and anonymized information regarding how Customer’s users interact with the Services, including but not limited to feature usage frequency, time spent, and interaction flows. Usage data does not include personal data or any information that could directly or indirectly identify an individual or specific Customer.

  • "Generated Content" means AI-produced text created through the Services

  • "Professional Use" means use for commercial, business, or professional purposes, excluding any personal or consumer use

  • "Fair Use" means usage within reasonable commercial parameters as defined in Section 3.4

  • "Business Registration" means valid CVR number (Denmark) or equivalent official business identification in Customer's jurisdiction

1.1 Description of Services

The Services consist of SERP Lab's cloud-based SEO analysis and optimization platform accessible at https://serplab.io (the "Website"), which includes:

  • Data Analysis Tools: Comprehensive SEO performance analysis and keyword research capabilities

  • SERP Lookup Services: Search engine results page analysis and tracking

  • AI Content Generation: Automated SEO-optimized text creation tools

  • Google Search Console Integration: Import and analysis of GSC performance data

  • Third-Party Integrations: DataForSEO, Shopify, WordPress, and WooCommerce connectivity

  • Reporting & Analytics: Performance tracking, automated alerts, and custom reporting tools

  • Project Management: Multi-project organization and collaboration features

Use of the Services involves processing and analysis of User Data as further described in Section 2.

The provision of the Services includes the collection and analysis of Usage Data for the purpose of service improvement, statistical analysis, and benchmarking, always conducted in compliance with data protection laws and exclusively in aggregated and anonymized form. Usage Data will never be used for targeted marketing towards any individual Customer.

1.2 Subscription Plans & Usage Limits

SERP Lab offers three (3) standard subscription tiers plus Enterprise solutions. Usage limits vary by subscription plan and include:

  • Number of AI-generated texts per month

  • Number of SERP lookups per month

  • Maximum active projects

  • Data customization capabilities

  • API request limits

Specific limits for your subscription plan are detailed in your Account dashboard and at https://serplab.io/price/. All usage is subject to our Fair Use Policy detailed in Section 3.4.

1.3 Service Scope & Exclusions Included in all plans:

  • Access to core platform features (subject to plan limits)

  • Standard technical support via email

  • Regular platform updates and improvements

Not included (unless separately agreed):

  • Custom development or feature requests

  • Data migration services from other platforms

  • On-site training or consultancy

  • Dedicated account management (except Enterprise)

  • Service level guarantees (except Enterprise)


1.4 System Requirements & Access

  • Business Requirements: Valid business registration (CVR or equivalent) required for Account creation

  • Web Browser: Chrome 100+, Firefox 100+, Safari 15+, or Edge 100+ with JavaScript and cookies enabled

  • Hardware: Minimum 8GB RAM recommended for optimal performance

  • Internet Connection: Stable broadband connection required

  • Account Security: Corporate accounts only - credential sharing is strictly prohibited and will result in immediate termination


1.5 Data Synchronization & Updates

  • Google Search Console: Daily synchronization of connected accounts (subject to Google API availability)

  • SERP Data - Tracked Keywords: Updates according to Customer's selected frequency with manual refresh available (subject to monthly limits)

  • SERP Data - General Database: Periodic batch updates

  • Manual SERP Lookups: On-demand analysis subject to monthly allocation per subscription tier

  • Third-party Integrations: Synchronization dependent on third-party API availability and limitations

1.6 Service Availability & Limitations

SERP Lab maintains industry-standard uptime targets of 99.5% measured monthly, excluding scheduled maintenance windows. The Services may experience interruptions due to:

  • Scheduled Maintenance: Notified minimum 48 hours in advance via Account dashboard

  • Emergency Maintenance: For critical security or stability issues

  • Third-party Dependencies: Including but not limited to Google, DataForSEO, and hosting provider outages

  • Force Majeure Events: As defined in Section 8.7

Service availability does not guarantee third-party API availability or data freshness, which remain subject to external provider limitations.

1.7 Business Use Only

SERP Lab is exclusively available for professional business use. By registering, you represent and warrant that:

  • You are a registered business entity with valid business identification

  • You are authorized to bind your organization to these Terms

  • Your use is solely for commercial or professional purposes

  • You will not resell or provide access to non-business users

Accounts created in violation of these requirements will be terminated without refund.



2. AI CONTENT GENERATION & INTELLECTUAL PROPERTY

2.1 AI-Generated Content Rights

a) Content License: When using SERP Lab's AI content generation tools, you receive a non-exclusive, worldwide, perpetual license to use, modify, and distribute the generated content for any lawful purpose, including commercial use for your business or clients.

b) Ownership: You own the AI-generated content created specifically for your Account. SERP Lab retains all rights to the underlying AI models, algorithms, and training methodologies.

c) Uniqueness Limitations: While our systems are designed to generate unique content:

  • Similar prompts may produce similar outputs across different users

  • We cannot guarantee absolute uniqueness due to the probabilistic nature of AI

  • You are responsible for reviewing and modifying content to ensure it meets your needs

d) No Exclusivity: The content license is non-exclusive. Other users may independently generate similar content.

2.2 User Data & Content Licensing

a) Your Ownership: You retain all ownership rights to User Data as defined in Section 1.0, subject to the licenses granted herein.

b) Service Provision License: You grant SERP Lab a non-exclusive, worldwide license during your subscription term to use User Data solely for:

  • Providing the Services as described in Section 1.1

  • Generating reports, analysis, and recommendations specific to your Account

  • Ensuring platform security and preventing abuse

  • Technical support and troubleshooting

c) Product Improvement License: You grant SERP Lab a perpetual, irrevocable license to use all data derived from your account for:

  • Algorithm enhancement and machine learning model training

  • Industry benchmarking and market analysis

  • Product development and feature innovation

  • Statistical research and trend identification

This license survives termination but applies only to anonymized data that cannot identify you or your websites.

d) Data Protection Commitments:

  • Individual user/website data is never sold or licensed to third parties

  • Public reports contain only aggregated insights that prevent user identification

  • You can request data usage reports showing how your data contributes to platform improvements

  • Enterprise customers may negotiate custom data handling terms

2.3 Google Search Console & Third-Party Data Integration

a) Data Processing Authorization: By connecting Google Search Console or other third-party services, you authorize SERP Lab to continuously access, process, and integrate your complete performance data into our analytical infrastructure. This integration is fundamental to our service architecture and enables the advanced features you rely on.

b) Technical Integration & Infrastructure: You understand and acknowledge that:

  • Your data is immediately and continuously integrated into our core algorithms, machine learning models, and analytical systems

  • This integration creates interdependencies with other user data that cannot be untangled

  • Our traffic estimation, ranking predictions, and difficulty scores depend on comprehensive cross-user data analysis

  • The technical architecture makes selective data extraction functionally impossible without compromising the entire system

c) Legitimate Business Purposes: SERP Lab processes integrated data for essential business functions including but not limited to:

  • Real-time algorithm optimization and machine learning model training

  • Traffic estimation and ranking prediction systems

  • Competitive intelligence and market analysis

  • Platform stability and performance optimization

  • Industry benchmarking and trend identification

  • Product development and innovation

  • Any other purposes necessary for operating a competitive SEO intelligence platform

d) Nature of Data Integration: You acknowledge that:

  • Disconnecting third-party access stops future data collection but does not affect already-integrated data

  • The value and accuracy of our service depends on maintaining comprehensive historical data

  • Data removal would materially degrade service quality for all users

  • Our competitive position requires maintaining complete datasets

e) Data Persistence & Business Continuity: To ensure service quality and business continuity:

  • Integrated data forms part of our permanent business intelligence assets

  • Historical patterns and relationships must be preserved for algorithm accuracy

  • We maintain full data fidelity for trend analysis and forecasting

  • Backup and disaster recovery systems retain complete data copies

f) Data Rights Upon Termination:

  • Account termination removes access credentials only

  • All integrated data remains SERP Lab's property for continued business use

  • No extraction or deletion rights exist for integrated data

  • This is a fundamental condition of service access

g) Third-Party Services: Similar terms apply to all integrated services including DataForSEO, Shopify, WordPress, and WooCommerce. We process this data as necessary for comprehensive SEO analysis.

h) Acknowledgment of Value Exchange: By using our Services, you acknowledge that:

  • Our ability to provide accurate estimates depends on comprehensive data

  • You benefit from insights derived from all user data

  • This mutual value exchange is core to our business model

  • Alternative services with similar capabilities operate under comparable terms

i) Data Confidentiality & Restrictions: Notwithstanding the broad rights granted above:

  • We will NEVER sell, license, or transfer raw GSC data or identifiable website data to third parties

  • We will NEVER publicly display specific customer performance metrics in a way that identifies individual users or websites

  • We will NEVER use specific customer examples in marketing without explicit written consent

  • All public outputs will use aggregated and anonymized data that prevents identification of individual users

  • Internal use means exclusively for algorithm development, machine learning, and platform improvement

  • Employees and contractors with data access are bound by strict confidentiality agreements

j) Marketing & Public Communications:

  • We may share aggregated industry insights and trends

  • We may publish anonymized benchmarks and statistics

  • We maintain discretion in determining appropriate aggregation levels

  • Customer identification will always be prevented through appropriate anonymization

  • Separate written permission required for identifiable case studies or testimonials

2.4 Intellectual Property Infringement

a) Your Responsibility: You represent that User Data does not infringe any third-party intellectual property rights.

b) AI Content: While we design our AI to avoid generating infringing content, you are responsible for reviewing outputs before use.

c) DMCA/E-Commerce Directive: We respond to valid takedown notices under applicable law. Repeat infringers may face Account termination.


3. USAGE RESTRICTIONS & LIMITATIONS

3.1 Permitted Use

You may use the Services solely for legitimate business purposes including:

  • Internal SEO analysis and optimization for your business operations

  • Creating content for websites and marketing materials owned or managed by your business

  • Generating client reports and deliverables (subject to your subscription plan)

  • Conducting lawful competitive research and market analysis

  • Integrating with your internal business systems via our APIs

All use must be for Professional Use as defined in Section 1.0 and comply with these restrictions.

3.2 Prohibited Uses

You expressly agree NOT to:

a) Technical Prohibitions:

  • Reverse engineer, decompile, disassemble, or attempt to derive source code

  • Use automated tools (bots, scrapers, spiders) except through official APIs

  • Attempt to bypass, disable, or circumvent usage limits or security measures

  • Interfere with or disrupt Services or servers/networks connected to Services

  • Train machine learning models or AI systems on our data, outputs, or methodologies

  • Conduct performance testing or benchmarking without written permission

  • Access Services through methods other than provided interfaces

b) Commercial Prohibitions:

  • Resell, sublicense, lease, or redistribute Services or any Service data

  • Create derivative works or competing SEO/marketing tools using our data

  • Offer Services as part of a managed service without Enterprise agreement

  • Share, sell, or transfer Account access or login credentials

  • Use Services for any unlawful purpose or in violation of any regulations

  • Aggregate or combine our data with other sources for commercial redistribution

  • White-label or rebrand Services without explicit written authorization

c) Content & Data Prohibitions:

  • Upload malicious code, viruses, trojans, or any harmful content

  • Input personal data of individuals without lawful basis and consent

  • Generate content that infringes intellectual property or violates any laws

  • Create content for illegal, fraudulent, or deceptive purposes

  • Submit false or misleading information to manipulate Service outputs

  • Use Services to harass, abuse, or harm individuals or organizations

  • Extract or harvest email addresses or other contact information

d) Competitive Intelligence Restrictions:

  • You may NOT use Services to systematically monitor SERP Lab's:

    • Feature releases or product development

    • Pricing changes or business model

    • Technical infrastructure or performance

    • Customer base or market position

3.3 API Usage & Technical Limits

a) API Access:

  • API availability varies by subscription plan as detailed at https://serplab.io/price

  • Valid API keys must be used for all API calls

  • APIs may only be used for your internal business systems

  • Third-party access to your API keys is strictly prohibited

b) Rate Limits & Quotas:

  • Specific rate limits are defined in your subscription plan and Account dashboard

  • Exceeding rate limits may result in temporary access restrictions

  • Persistent overuse may trigger account review or suspension

c) Data Caching & Storage:

  • Caching permissions vary by subscription plan

  • Cached data remains subject to all usage restrictions

  • Delete all cached data upon subscription termination

3.4 Fair Use Policy

a) Reasonable Use:

  • Usage must remain within reasonable commercial parameters

  • Excessive use that impacts system performance is prohibited

  • We reserve the right to implement additional limits to ensure service quality

  • Specific Fair Use parameters are detailed in your Account dashboard

b) Monitoring & Enforcement:

  • We monitor usage patterns to ensure compliance

  • Temporary restrictions may be applied to protect system resources

  • Persistent violations may result in account termination

3.5 Client Services Restrictions

a) Client Deliverables:

  • Ability to generate client reports varies by subscription tier

  • Attribution requirements may apply based on your plan

  • White-label options available only through Enterprise agreements

b) Usage Attribution:

  • You may not claim our data or insights as your proprietary research

  • Client contracts must acknowledge use of third-party data sources

  • Specific attribution requirements detailed in your subscription terms

3.6 Geographic & Compliance Restrictions

a) Prohibited Jurisdictions: You may not access or use Services from, or on behalf of entities in:

  • Countries subject to Danish, EU, US, or UN sanctions

  • Jurisdictions where SEO tools or data collection is restricted

  • Regions where we cannot ensure data protection compliance

b) Compliance Responsibility:

  • You are responsible for ensuring use complies with your local laws

  • We reserve the right to block access from specific regions

  • VPN use to circumvent geographic restrictions is prohibited

3.7 Violation Consequences & Enforcement

a) Immediate Suspension Rights: We may immediately suspend or terminate your Account for any violation of these restrictions without prior notice.

b) Consequences of Violation:

  • Immediate termination of Services access

  • Forfeiture of all prepaid fees

  • Legal action for damages including lost profits

  • Permanent ban from future SERP Lab services

  • Reporting to relevant authorities for illegal activities

c) Investigation Rights:

  • We may investigate suspected violations using automated and manual methods

  • You agree to cooperate with any investigation

  • We may monitor usage patterns to detect violations

  • Refusal to cooperate constitutes independent grounds for termination

3.8 Modification of Restrictions

We reserve the right to modify these usage restrictions at any time to:

  • Address new security threats or abuse patterns

  • Comply with legal or regulatory requirements

  • Protect our intellectual property and business interests

  • Ensure service quality for all customers

Changes to restrictions take effect immediately upon posting, with notification provided via Account dashboard.


4. SUBSCRIPTION, BILLING & PAYMENT TERMS

4.1 Subscription Plans & Free Trial

SERP Lab offers three (3) standard subscription tiers plus custom Enterprise solutions:

a) 7-Day Free Trial:

  • New business customers receive seven (7) days of free access to their selected subscription plan

  • Full access to all features included in the chosen plan during trial period

  • Valid payment method required at registration with €0.00 authorization to verify card validity

  • Only one free trial per unique business registration (CVR) and payment method combination

  • Trial automatically converts to paid subscription unless cancelled before trial expiration

  • First billing occurs after trial period ends

b) Standard Plans:

  • Starter, Professional, and Agency tiers with varying feature limits

  • Monthly and annual billing options available after trial period

  • Specific pricing and feature limits detailed at https://serplab.io/price

  • Annual subscriptions include discount compared to monthly billing

  • All prices listed in Euro (EUR) unless otherwise specified

c) Enterprise Plans:

  • Custom pricing, features, and service arrangements

  • All Enterprise terms subject to separate written agreements

  • Contact our sales team for pricing and implementation details

  • Free trials may be extended for Enterprise evaluations at our discretion

d) Plan Limitations: Each subscription tier includes specific monthly allocations for:

  • AI-generated content pieces

  • SERP lookup credits

  • Manual search analysis requests

  • Active project limits

  • API request quotas

4.2 Billing & Payment Processing

a) Payment Processor: All payments are processed securely through Stripe, Inc. Your payment information is subject to Stripe's privacy policy and terms of service.

b) Billing Cycles:

  • Monthly Plans: Billed monthly in advance on the same calendar date each month

  • Annual Plans: Billed annually in advance with automatic renewal

  • Enterprise Plans: Custom billing arrangements as agreed in writing

c) Automatic Renewal: After your free trial period, your subscription automatically converts to paid billing and renews for the same period unless cancelled before the trial expiration date. We will charge your selected payment method on file for the subscription period.

d) Payment Methods: We accept major credit cards and other payment methods supported by Stripe. You authorize us to update your payment information automatically to maintain service continuity.

4.3 Overage Charges & Usage Limits

a) Usage Monitoring: We monitor your monthly usage against your subscription plan limits in real-time through your account dashboard.

b) Overage Billing:

  • When you exceed monthly allocations, additional usage is available for purchase

  • Overage charges apply immediately when limits are exceeded

  • Rates for additional usage are specified in your subscription plan details

  • Overage credits are valid only for the month of purchase and do not roll over

c) Service Limitations: If you consistently exceed plan limits without purchasing additional usage, we may restrict access to premium features until limits reset or additional credits are purchased.

4.4 Taxes & Fees

a) Tax Exclusivity: All subscription fees are exclusive of applicable taxes, including VAT, GST, and other local taxes.

b) Business VAT Application:

  • For Danish business customers: 25% moms (VAT) will be added to all charges

  • For EU business customers: Provide valid VAT registration number to qualify for reverse charge mechanism

  • For non-EU businesses: No VAT applies

c) Tax Documentation: You are responsible for providing accurate business tax information. We reserve the right to charge applicable taxes if exemption documentation is invalid or insufficient.

d) International Transactions: Currency conversion rates and international transaction fees may apply based on your payment method and location.

4.5 Trial Cancellation & No Refund Policy

a) Trial Period Cancellation:

  • You may cancel during your 7-day free trial period without any charges

  • Trial cancellations must be completed before the trial expiration date to avoid billing

  • Cancellation can be done through your account dashboard or by contacting support

  • Account access terminates immediately upon trial cancellation

b) Paid Subscription - No Refunds: All subscription fees and usage charges are final and non-refundable once your trial period ends and billing begins. This applies to all subscription plans, overage charges, and additional services.

c) Paid Subscription Cancellation:

  • You may cancel your paid subscription at any time through your account dashboard

  • Cancellations take effect at the end of your current billing period

  • No prorated refunds are provided for unused time or allocations

  • Access to premium features continues until the end of your paid period

d) Enterprise Exceptions: Enterprise plans may have different trial and refund terms as specified in separate written agreements.

e) Chargebacks: Initiating chargebacks or payment disputes may result in immediate account termination and suspension of all services.

4.6 Payment Failure & Service Management

a) Payment Processing: We will attempt to process your renewal payment up to three (3) times over a 5-day period starting 1 day before your renewal date.

b) Payment Failure Response: If payment processing fails after all attempts:

  • All premium features are immediately restricted when the billing period ends

  • Account access is limited to profile/billing settings only

  • Users can log in solely to update payment information and reactivate service

  • No access to SEO tools, reports, data analysis, or any platform features

  • Email notifications are sent daily regarding payment failure

c) Limited Access Period: Failed payment accounts maintain profile-only access for ninety (90) days to allow for:

  • Payment information updates

  • Subscription reactivation

  • Account settings management

  • Billing history review

d) Service Reactivation: You may reactivate your subscription at any time during the 90-day period by:

  • Updating payment information through your profile settings

  • Selecting and paying for a new billing period

  • Full service access is restored immediately upon successful payment

  • Historical data and settings are restored from backup

e) Account Termination: If payment is not resolved within ninety (90) days, account data will be permanently deleted and the account will be terminated. No late fees or additional charges apply for failed payments.

4.7 Price Changes & Plan Modifications

a) Price Adjustments: We reserve the right to modify subscription pricing with thirty (30) days advance notice via email and account dashboard notification.

b) Grandfathering: Existing subscribers may continue at current pricing for their active billing cycle, with new pricing applying at next renewal.

c) Plan Upgrades: Plan upgrades take effect immediately with prorated billing for the remainder of your current billing cycle.

d) Plan Downgrades: Plan downgrades take effect at your next billing cycle renewal date. Features and usage limits exceeding new plan allocations will be restricted immediately upon downgrade.



5. DATA PROCESSING, PRIVACY & GDPR COMPLIANCE

5.1 Data Processing Overview

1) SERP Lab solely processes personal data from customer as an independent controller. This includes the following information:

a) Business Account Data:

  • Company name, business registration numbers, VAT numbers

  • Authorized User names and business email addresses

  • Billing information and payment methods

  • Subscription history and usage patterns

b) Technical & Usage Data:

  • IP addresses, browser information, device identifiers

  • Platform usage analytics and feature interactions

  • Performance metrics and error logs

  • Session data and security information

c) Integrated Business Data:

  • Google Search Console performance data (URLs and metrics)

  • Third-party platform data (Shopify, WordPress, WooCommerce)

  • DataForSEO API responses and search engine data

  • Business content and analysis inputs

d) Communication Data:

  • Support tickets and business correspondence

  • Feedback and survey responses

  • Marketing communication preferences’

2) Data processing role

SERP Lab acts as an independent data controller when delivering SEO analysis and optimization services. We provide specialized SEO tools and analysis services as our primary offering, where processing of personal data (e.g., from Google Search Console integration) occurs solely as a necessary technical element to deliver the SEO service. We do not process personal data about our customers' customers or end-users. We primarily process business data and do not systematically monitor or profile individuals. Any personal data processing is incidental to business operations.

Therefore, no Data Processing Agreement is required between the Client and SERP Lab. The processing of personal data in connection with SEO analysis services is based on GDPR Article 6(1)(f) regarding processing necessary to pursue legitimate interests - specifically optimizing search engine results and improving online visibility through advanced SEO analysis.

Customer is solely responsible for ensuring that any use, upload, or integration of third-party data, including but not limited to Google Search Console, Shopify, WordPress, or WooCommerce, is duly authorized and in compliance with all applicable laws and contractual obligations. Supplier disclaims all liability for unauthorized use of such data.

3) Usage Data and Aggregated

a) Collection and Purpose:

The Company shall have the right to collect, analyze, and utilize data on how Customer’s users interact with the Company’s platform and services (“usage data”). Such usage data may be used for:

  • Service improvement and development,

  • Statistical analysis, and

  • Internal and external benchmarking.

b) Aggregation and Anonymization:

All usage data shall only be processed and used in aggregated and anonymized form, ensuring that neither individual persons nor customer entities may be identified from such data. Upon reasonable request, the Company shall provide the Customer with a general description of the methods used to aggregate and anonymize usage data, for compliance and audit purposes. 

c) Ownership and Data Protection:

Customer retains ownership of its own raw business data. However, the Company is granted a perpetual, royalty-free license to use aggregated and anonymized usage data for the purposes set forth above, even after termination of the Agreement. Use of such data shall always be in compliance with applicable data protection legislation, and usage data may not be disclosed or shared in a way that enables identification of any specific customer or user without prior written consent.

d) No Personal Data / GDPR Compliance:

Usage data as defined in this section does not constitute personal data within the meaning of the GDPR and other applicable data protection laws. The Company undertakes to ensure that the processing of usage data under this clause does not involve directly or indirectly identifiable information relating to any individual.

e) No Targeted Marketing:

Aggregated usage data may be used for product development and benchmarking but shall not be used for marketing communications or direct targeting towards any specific customer based on its usage profile.

5.2 Data Storage & International Transfers

a) Storage Infrastructure: Your data is stored and processed using:

  • Google BigQuery: Cloud data warehouse services

  • Amazon Web Services (AWS): Cloud infrastructure and computing

  • NEON: Database services and data management

  • Stripe: Payment processing and billing data

b) International Data Transfers:

  • Data may be transferred to and processed in countries outside the European Economic Area

  • All transfers are protected by appropriate safeguards including:

    • EU Standard Contractual Clauses

    • Adequacy decisions by the European Commission

    • Binding Corporate Rules where applicable

    • US-based processors comply with relevant data protection frameworks

c) Data Security: We implement appropriate technical and organizational measures to protect your data, including encryption in transit and at rest, access controls, and regular security assessments. 

5.3 Data Retention Periods

a) Business Account Data:

  • Active accounts: Business data retained for duration of subscription

  • Cancelled accounts: Account data deleted within ninety (90) days

  • Billing records: Retained for 5 years per Danish accounting requirements

7. TERMINATION & SUSPENSION

7.1 User-Initiated Termination

a) Cancellation Rights:

  • You may cancel your subscription at any time through your account dashboard

  • Trial period cancellations take effect immediately with no charges

  • Paid subscription cancellations take effect at the end of your current billing period

  • No refunds are provided for unused subscription time or features

b) Cancellation Process:

a) Immediate Suspension - No Notice: We may immediately suspend your account for:

  • Violation of usage limits or rate limiting policies

  • Non-payment or payment processing failures

  • Legal orders or regulatory requirements

  • Technical issues requiring immediate intervention

b) Suspension with Notice: We may suspend your account with 48-hour notice for:

  • Approaching violation of terms requiring corrective action

  • Unusual usage patterns requiring investigation

  • Pending resolution of payment or billing disputes

  • Account verification or compliance requirements

c) Suspension Effects:

  • Access to premium features is immediately restricted

  • Data remains accessible in read-only mode during suspension

d) Suspension Resolution:

7.4 Data Handling Upon Termination

b) Account Data Deletion: After the 90-day retention period, we permanently delete:

c) Integrated Data Retention (Indefinite): Under our licensing terms (Section 2.3), we retain indefinitely:

  • AI training datasets and algorithm improvements

d) Data Export Before Termination:

It is the sole responsibility of the Customer to export any required data or reports via the account dashboard prior to account termination or the expiry of the retention period. Export functionality is only available while the account is active or within the defined retention period after termination. No data export services are provided once the retention period has expired, and terminated accounts cannot be reactivated for the purpose of data export. After the end of the retention period, all Customer-specific data shall be permanently and irreversibly deleted and cannot be recovered, reactivated, or retrieved by any means.

7.5 Effect of Termination

a) Service Access:

  • All premium features cease immediately upon termination

  • Login access is disabled and credentials become invalid

  • API keys are revoked, and third-party integrations disconnect

  • Mobile and desktop application access is terminated

b) Outstanding Obligations:

  • All unpaid fees remain due and payable after termination

  • Overage charges incurred during the final billing period are still applicable

  • Indemnification obligations survive termination indefinitely

  • Confidentiality obligations remain in effect post-termination

c) Intellectual Property:

  • Your license to use SERP Lab's intellectual property terminates immediately

  • Our license to your User Content continues under Section 2.2 terms

  • AI-generated content created during your subscription remains available for your use

  • No new intellectual property licenses are granted post-termination

7.6 Account Reactivation

a) Reactivation Eligibility:

  • Accounts terminated for non-payment: Eligible for immediate reactivation

  • Accounts terminated for minor violations: Eligible after issue resolution

  • Accounts terminated for serious violations: Reactivation at our sole discretion

  • Convenience terminations: No reactivation available

b) Reactivation Process:

  • Contact support to request account reactivation

  • Resolve any outstanding issues that led to termination

  • Update payment information and settle outstanding balances

  • Accept any updated Terms of Service or policy changes

c) Data Restoration:

  • Account data is restored if reactivation occurs within 90 days

  • Prorated refunds may be provided for prepaid subscription periods

  • Minimum 60 days notice will be provided where legally possible

8. GENERAL PROVISIONS

8.1 Governing Law and Jurisdiction

a) Applicable Law: These Terms of Service and any disputes arising hereunder shall be governed by and construed in accordance with the laws of Denmark, without regard to conflict of law principles.

b) Jurisdiction and Venue: Any legal action or proceeding arising out of or relating to these Terms or your use of the Services shall be brought exclusively in the Danish courts. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

c) International Users: Users accessing our Services from outside Denmark acknowledge that these Terms are governed by Danish law and agree to submit to Danish jurisdiction for dispute resolution.

8.2 Entire Agreement and Integration

b) Excluded Events: The following are NOT considered force majeure events:

  • Third-party service provider failures or routine API disruptions

  • Cyber attacks or security breaches (which are business risks to be managed)

  • Equipment failures or software bugs

  • Financial difficulties or cash flow problems

  • Strikes or labor disputes (except those affecting essential infrastructure)

c) Notice and Mitigation: The affected party shall promptly notify the other party of any force majeure event and use reasonable efforts to mitigate its effects.

d) Duration: Performance obligations are suspended only for the duration of the force majeure event, and resume when the circumstances are resolved.

e) Termination Right: If a force majeure event continues for more than 90 days, either party may terminate these Terms with written notice.

8.8 Notices and Communications

a) Email Communications: All notices and communications shall be sent to the email address associated with your account or to the contact addresses specified in these Terms.

b) Effective Delivery: Notices are deemed received:

  • When delivered via email (unless delivery failure notification is received)

  • When posted to your account dashboard

  • 5 business days after posting by registered mail

c) Contact Information Updates: You are responsible for maintaining current contact information in your account settings. Failure to receive notices due to outdated contact information does not excuse compliance with these Terms.
